Coopman Search and Selection are delighted to partner exclusively with a global private markets firm with circa $60 billion AUM who are looking to hire Legal Counsel. The role will report in directly into the CCO/GC who is based over in the US and you will form part of a wider global legal & compliance team. In this role you will be responsible for the firms legal and regulatory activities in the UK and EU markets, these activities include fund formation and private offerings throughout the EU, as well as regulatory filings related to such fundraising efforts. Additionally, it is expected that this individual will provide general support to the global Legal team in a variety of fundraising and investing related activities. Key Responsibilities: Responsible for overseeing the EU based offerings in Luxembourg (as well as other jurisdictions), including overseeing the documentation and regulatory filings associated with such offerings. Interacting with internal and external investment relations professionals, lawyers, bankers, accountants, investors, including our local alternative funds manager and other professional service providers. Overseeing filing and monitoring of ongoing filing obligations with respect to such marketing efforts and management of EU based investment vehicles, as well as regulatory filing obligations with respect to the operation of a FCA regulated entity in the UK, a BaFin regulated entity in Germany and such other applicable jurisdictions as needed. Overseeing and managing legal aspects of the firm’s subsidiary operations in the UK and Germany, as well as other operations which are subsequently established in Europe. Actively monitoring and serving as a resource for updates/changes to UK and EU regulations, including regulations related to data privacy and security and anti-money laundering. Updating the UK and EU regulatory compliance policies and procedures as needed and preparing required periodic regulatory documentation under UK and German regulations. Addressing UK and EU country-specific marketing compliance requirements, including under AIFMD and private placement regimes. Experience Required: 7-12 years of experience as a lawyer within a law firm and/or in-house legal department working on similar matters. Experience handling transactions in fund formation or mergers and acquisitions, regulatory related registrations &other required regulatory documentation. Familiarity with FCA, BaFin and EU securities laws, including AIFMD, as well as General Data Protection Regulation. Ability to work in a collaborative team setting with multiple stakeholders.
